Welcome to VEDEX. These Terms of Service (“Terms”) govern your access to and use of the website located at vedexprop.com, the platform, and services (collectively, the “Services”) provided by Vedex Inc., a company registered in the Republic of Seychelles under registration number No. 238217, with its registered office at Suite 1, Second Floor, Sound & Vision House, Francis Rachel Str., Victoria, Mahe, Seychelles (“VEDEX”, “Company”, “we”, “us”, or “our”).

By accessing our website or purchasing our Evaluation Challenges, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Nature of Services (Not a Broker)

1.1 Simulated Trading Only: VEDEX provides educational and evaluation services for traders. The Phase 1 and Phase 2 Evaluation Challenges (“Challenges”) are conducted in a simulated environment using virtual funds.

1.2 No Financial Services: VEDEX is NOT a broker-dealer, investment adviser, or financial institution. We do not accept client deposits for investment purposes, we do not hold custody of client trading funds, and we do not execute real trades on behalf of clients during the evaluation phases.

1.3 No Investment Advice: Nothing on our platform should be construed as financial, investment, or trading advice.

2. Eligibility & Restricted Jurisdictions

2.1 Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use our Services.

2.2 Restricted Jurisdictions: Due to regulatory restrictions and compliance policies, VEDEX does not provide services to citizens or residents of the United States of America, Iran, Syria, North Korea, Myanmar, and any other jurisdictions subject to international FATF blacklists. Furthermore, we do not provide services to any individuals specifically listed on international sanctions lists (such as the OFAC SDN list). By registering, you confirm you are not a resident of these jurisdictions or a sanctioned individual. If we detect that you are accessing our Services from a restricted jurisdiction, we reserve the right to reject your verification, terminate your account, and refund your initial fee.

3. Account Creation & KYC

3.1 Accuracy of Information: You must provide accurate and complete information when creating an account.

3.2 Manual Verification (KYC/AML): To ensure compliance, we enforce a manual Know Your Customer (KYC) verification process. You may be required to provide a valid government-issued ID and proof of address immediately after purchasing a Challenge, or prior to receiving any profit split payouts as a Funded Trader. We reserve the right to deny payouts and close accounts if you fail the KYC verification process.

3.3 Single Account Policy: Users are prohibited from creating multiple accounts to bypass trading rules, limits, or risk parameters.

4. Purchases and Payments

4.1 Cryptocurrency Only: VEDEX operates strictly via cryptocurrency. All purchases of Evaluation Challenges and all subsequent payouts are processed exclusively in supported cryptocurrencies (specifically USDT). We do not accept fiat currency payments.

4.2 Fees: The fee paid for an Evaluation Challenge is a fee for accessing the simulated trading platform and evaluation metrics. It is not a deposit for trading.

4.3 Refund Policy: All challenge fees are strictly non-refundable once the user has placed their first simulated trade on the platform. Refunds are only applicable if requested before any trading activity has occurred, if your KYC is rejected due to jurisdiction restrictions, or as part of a successful Funded Trader payout (as defined in our Evaluation Rules).

5. Evaluation Rules & Funded Status

5.1 Trading Rules: By participating in a Challenge, you agree to abide by the rules outlined in our Evaluation Rules & Objectives document (including Max Daily Loss, Max Total Loss, etc.).

5.2 Breach of Rules: Any violation of the trading rules will result in the immediate and automatic termination of your evaluation account without any refund.

5.3 Independent Contractor: If you successfully pass the evaluation and are offered a “Funded Account,” your relationship with VEDEX will be that of an Independent Contractor. You will not be an employee, partner, or agent of VEDEX. You will be trading the Company’s capital and receiving a percentage of the simulated or live profits as remuneration for your trading data/signals.

6. Prohibited Trading Practices

Traders must not engage in any trading strategies that exploit errors in the service, such as:

• Latency arbitrage or high-frequency trading (HFT) designed to exploit feed delays.
• Exploiting unrealistic simulated fills (e.g., gap trading abuse).
• Account management services (allowing a third party to trade your account).
• Coordinated trading (copy trading across multiple accounts of different users).

Violation of these practices may result in immediate account closure and forfeiture of any profits.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VEDEX, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services.

8. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Seychelles.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
